The Strategy Before you Sell
When you finally decide that the time is right to sell a business there is significant work that can be done before you actually can go about showing your business to potential buyers. There is much information that buyers will need and they will have certain expectations that will need to be met in order to successfully sell. Here is a sampling of things buyers will look for in their search for a business for sale.
Overall condition of the business
If you want to sell a business one of the first things you should check on is the first impression the business gives. A clean and orderly business will make a great first impression on any potential buyer and should not be overlooked.
Customer records
Do you have an up to date listing of your customers’ records? When you go to sell a business one of the first things that a potential buyer will ask for is the status of the current clientele. Neglecting this important information will not serve your goals as a business seller.
Condition of your equipment
Have you done regular maintenance on your key pieces of machinery? Do you keep service records? Is everything in good working order? When you go to sell a company, ensuring the actual machinery &equipment of your business is working well is crucial.
Operating procedures
If you have more than a simple, straightforward business then a potential business buyer may ask for some well-documented procedures. Especially if there are precise processes that must be followed that are crucial to the operation of the business. When you decide to sell a business please ensure your operations are in order.
Employee information
Please ensure that you have current employee information on file with resumes as well.
Inventory
Have a current inventory count done. Remove any inventory that is no longer usable and maintain an accurate record. Business buyers will want to have a clear picture if a business’s inventory situation.
Get legal representation
Getting a lawyer early in the business selling process is an important step. A lawyer can help you to structure your deal so that when you are presented with an offeryou will not be at a disadvantage. Selling a business is much more complex than a basic real estate transaction and care should be taken. A lawyer can help you sell a business in many different ways: go over a purchase agreement (or letter of intent), obligations pertaining to your premises and equipment leases, your responsibilities (and liabilities) you have with your employees, Vendor financing that you may extend to a business buyer, franchise agreements and your obligations to a franchisor, etc. Getting a lawyer early on is something that is strongly advised.
Talk to an accountant
You will want to have good financial information on hand to present to a buyer when you decide to sell a business. Ensure that your books are in order and have detailed financial information on hand, because a buyer will ask. Have at least three years of accountant-prepared financial statements available, income tax returns, sales tax returns, bank statements, the most recent year’s financial information, employment tax filings, inventory schedule, AP and AR schedules, etc. As you can see… there is much more to selling a business than a simple real estate transaction. Find a reputable accountant if you don’t already have one.

A lot of theories have been propounded and even studies have been advanced on the subject of business expansion. But one that is worth taking note of is the study of Dr Ichak Adizes. In most of his research, he brings out the fact that every association has its evolution and it builds up starting from a normal formation stage and progresses into a mature stage. At every phase of its existence, the association will have to experience upheavals. In most cases, success in business will only have to be experienced by those business owners who have all the resources, the expertise as well as the experienced required in sailing through financial difficulties. The following lines will identify the various ways through which a business can be financed as soon as it is set up and even right up to when it is fully established in the market:
The Formative Phase of the Business
This is one of those very delicate stages in which every entrepreneur will want to take all measures not only in making sure that the business takes off smoothly, but to ensure that the business has come to stay for good. What every type of business will need at this phase as identified by Adizes is a running capital and an appropriate administration to take care of that capital. What should be observed at this phase of business is that so many unforeseen circumstances may come up. It is for this reason that enough capital should be hoarded to take care of any unforeseeable risk. What the entrepreneur has individually gathered may not be enough. Therefore, it is good that a resort to angel financing, venture capital, corporate venture capital and loans is opted for. Keep in mind that once a business is at this starting phase, it will need a lot of finance to surmount the odds often posed b market forces or even from competitors. This is necessary for a continuous operation.
The Business Flow Phase
This is phase where the business is already running and it is at least expected that the inflow of money is certain. This is also a phase at which the entrepreneur starts to develop some form of confidence that the business will thrive amidst the odds. Although the entrepreneur will have some measure of satisfaction, there is a need to obtain some form of security for the future of the business. This is the main reason why much of what is received in the form of profits should either be ploughed back into the business or should be used to acquire some fixed capital that the business can rely on in the future. The business can also use this to employ more qualified staff.
The Youthful Phase
This is a phase in which the business will experience a lot of unpredictable circumstances. It should be noted that growth in the business will still be experienced, but this will not be stable. It is certain that at this phase, the business will already have made some significant amount of savings. It must also have gained some standing within the business environment and can conveniently surmount any hurdle within the business environment. The money that has been saved should therefore be taken to counter any shortcoming. But the entrepreneur should also make sure that the business can first of all rely on what it has kept in stock rather than seek for external help.
The Mature Phase
This is a phase in which almost everything is certain. Every objective must have been put in place and every priority must have been identified. Growth or expansion at this stage should be maintained to remain stable. The business should also seek for means of spreading out its risk by opening up to possible investors. Also remember that this is the stage in which financing becomes much easier to obtain. This is because the business must have developed some credit worthiness.
An understanding and appreciation of all the phases that your business goes through is important if you have to maintain its growth or develop ways to compete within the business environment.

Ships and businesses are a lot alike. Both reflect the dream and inspiration of the owner. Both start with desire and get launched with excitement by all connected. Both tend to come in various styles and sizes and can be manned by 1 person or a whole crew. They also fall pray to the occasional disgruntle deckhand!
Ships (boats if you like) and businesses also require constant maintenance. The owners may not be involved with them daily but they’re usually top of mind around the clock. Depending on the level of participation, owners can spend a lot of time just floating in place or navigating the chosen waters of their voyage.
Businesses, like boats, need direction. It’s best if you know where you’re going before you begin your journey. Is your business ‘seaworthy’? Does your business have what it needs to make the journey? Can you make course corrections or do maintenance if the waters get rough? Do you have the know-how if the engine stalls or the weather clouds your vision?
Yes, there are many parallels between boats and businesses. One of the biggest similarities is the owner’s desire and commitment to stay the course. Many boat owners celebrate the day they buy their boat and the day they sell it. For most, the jubilation of owning one’s own watercraft is quickly replaced by the desire to unload a depreciating asset that knows no boundaries when it comes to sucking up all your money. As a business owner, are you sinking money into your vessel without any idea of the expected return on your investment? If so, how long are you will to keep going in this direction/?
So, is your business turning into a boat? Do you find yourself going around in circles or just tied up to the dock when it comes to pursuing the voyage to greater revenues and profitability? If so, you’re not alone. Many businesses that head for the open seas end up taking on water and finding themselves being towed to the nearest marina. Then, they sit indefinitely while the captain tries to determine what happened and what it will take to get back on course.
As a business owner (and a former boat owner), there are things you can do to get yourself out of ‘dry-dock’. Here are a few tips from my check-list on becoming seaworthy again:
1. Reassess your reason for ownership- Years of toiling away in a business or maintaining a boat can sap your spirit and drain your checkbook. Take some time to rekindle the dreams that encouraged you to start your business. If you’re clear about why you chose your venture, this alone can have a tremendous impact on igniting the passion to continue. Often times, owners feel overwhelmed with the demands of running their businesses and can grow distant for no other reason than the need to survive mentally and physically. Rekindling the passion that got you started does wonders for your desire to chart a new course.
2. Recalibrate your position- Sometimes the desire to hold on to a boat or a business without making the necessary course corrections can deplete you of all your resources. For boat owners, it’s putting their ‘pride and joy’ on a storage lot whole they contemplate selling. Business owners don’t have that same remedy. Your business is your life, the future to your financial freedom, the totality of your existence. In most cases, you are the business! Your current latitude and longitude are the direct result of what you know and what you’ve chosen to do. If you’re off course (regardless of the weather) it’s a result of what you don’t know and haven’t done that’s got your business in uncharted water. Take a critical, unbiased look at what you have done so far to determine what was missed and what didn’t go as expected. The answers to your future are in the decisions you made in the past.
3. Evaluate what makes your business different from others- Everyone has choices including the customers you serve. Since boats are an emotional purchase, the prospective owner usually decides to purchase based on something that touched them emotionally. Consumers make their decision to purchase based on something unique about the business, the way the service is provided, the particular array of products offered or the way the business owner treats them. Whatever the reason, determine what makes you different from your competition. Nothing brings a greater sense of pride than having a unique position that your customers’ value and your competition envies.
4. Is your business structure right for today’s market?- When diesel fuel crested $5.00, many boat owners decided to seek other recreation. What about your business’ exposure to economic influences? Is the business model you built still viable for today’s marketplace? Are you making productive use of today’s marketing tools; think website? It’s very common to find matured businesses run just like they were when they opened, some 20 years ago. A business that’s positioned for growth needs to be nimble, flexible and adaptable in order to weather the severity and frequency of change in today’s marketplace.
5. Thoroughly evaluate who your customers’ are- Consumers are faced with ever increasing choices. It’s not just a matter of who offers what you offer but what else a customer can chose as an alternative to what you offer. People want value which does not mean lower prices. If you offer value and promote price, you attract customers who value price. As a small business, the product or service you provide contributes a small percentage of your overall success. Figure out what drives your success and it will be smooth sailing.
In reality, running a business is much more difficult and demanding than owning a boat. And while captaining a boat has its own special challenges, the similarities with running a business are noteworthy. In the end, you must insure your business is seaworthy, you have your direction well planned and you keep a sharp eye on the horizon. It also helps to remember to have fun. After all, that’s the main reason we boaters decide to take the plunge!

Starting a home based business is a dream that many people share and numerous businesses have evolved from this dream creating a thriving cottage industry. Starting a home business can be a challenge but having relevant information, a definite plan in place and following basic business rules will help start you off in the right direction. The success of starting a home business depends on how much time and effort you’re willing to provide.
Benefits of Starting a Home Based Business
Having the freedom of managing your own time and being the boss of your own company is a prime reason people are starting a home business. For some, starting a home business is the main source of generating income while for others it can provide a second income. Not only do you have the benefit of time management, depending on the type of business you have, you can save money on gas, clothes, food, car repair and in some cases, day care for children. Punching a time clock, sitting in traffic and long commute times will be a thing of the past allowing more quality time with family and friends.
Things Needed Before Starting a Home Based Business
Do your research before starting a home business. Everyone has an idea but is it a good business idea and one that is needed in your area. You will need a business plan to follow and if you require start-up funding, a lender will want to see a plan. The basic items needed for starting a home business include a quiet work area in your home that is equipped with a computer and appropriate software for business use only, dedicated phone line, fax and copy machine, business software to keep track of bookkeeping, payroll software if you have employees, a separate business account for account payables and receivables, business cards, contracts for customers if needed, a tax information package from the IRS, shipping cost information if needed and a gas mileage log if you will be driving for your business.
Things to Consider when Starting a Home Based Business
Before starting a home based business, check with the city and county where your home resides to find out if you can have a business operating out of your home and what type of license is required. For tax purposes, you will need business tax software unless you have an accountant do your quarterly/yearly taxes. You must file business taxes so be sure to keep all receipts. You will have to purchase your own medical insurance unless you’re covered by a spouse and you may need workers comp insurance if you have employees. You must be a well organized and disciplined person in order to succeed at starting a home based business. Treat your home business as though you were in an office. Have a start time, dress comfortably, let your friends and family know you’re “at work” and don’t allow unnecessary distractions or interruptions to prevent you from doing a good job.

Starting a Business
Many people decide to venture into their own business with little or no knowledge of what it takes to run a business. These brave souls generally are proficient at a particular task or, one simply chooses to be an entrepreneur. Sometimes, little thought and or preparation is given to the business function itself.
Perhaps fueled by the need for independence, they no longer will be required to answer to anyone other than themselves. They may now make their own decisions that will charter the course of their business, changing their lives forever. They alone will make the choices that will create an identity for their new business. They are embarking on a new venture and freedoms not yet experienced, which require different skills than were needed before to maintain this new freedom.
Does this new entrepreneur know the challenges that lie ahead? Do they foresee the challenges, the hidden forces waiting in the darkness of their future that will challenge them to the limits? Likely, they do not.
Starting with a Business plan of action coupled with a Marketing plan of action, these instruments if properly prepared, will guide the new entrepreneur successfully into the future.
The most important question to ask is “Why Am I in Business?” Most people will answer “To make money”.
If this is the reason you are going into business, YOU WILL FAIL!
If you do not have a clear understanding that a business exists to serve its customers, you will fail!
If you do not completely understand that you must provide a useful service or product to mankind, you will fail!
And, I urge you to completely understand the concept of Perceived Value! It is that value that a customer or client will put on your goods or services. You must be cognizant of, and on top of, exactly what that perception is relative to your goods or services, in order for you to be successful.
Your business plan, if properly utilized, will set the course and tone for your business. Your mission statement and purpose will explain WHY you are in business and what you will do to support that mission. Your objectives will be clearly set and a pathway chosen to reach your objectives. Your Marketing plan of action is the fuel needed to drive your business to success.
Within the marketing plan, you will outline the actions needed to obtain the revenue to run your business, the inventory replacement funds, the money necessary to pay all bills as due and, the money needed for salaries. Essentially, where and how will you sell and distribute your products or services.
Ponder if you will: it is not good enough to be great at making widgets you must also become proficient at operating the business that is necessary for you to make the widgets. Without the successful operation of the business, your widget making will come to an abrupt end!
Where to start?
You must first decide why you want to be in business. What service or product are you providing to a customer base that they will need and want? How will you distribute this product or service to the customer? What price will you charge for this product or service and what are the operating expenses? Will your profit be sufficient for you to effectively operate your business? What will it take to do what you want to do?
Charter a direction for your business. Where do you want your business to be in one year, five years, and ten years? Have you planed to be successful by preparing a valid business plan of action and a marketing plan of action? A qualified business consultant or attorney may help with the business plan however; you must also work with a good Marketer to compile the marketing plan of action.
A business coach and consultant such as me with over twenty-seven years of Marketing experience will be able to assist and compile both plans of action for your new business.

Many small businesses have a website built and never really capitalise on its value to their business.
Most small business websites should do the following:
- Be accurate and informative
- Generate new business
- Help to retain existing business
But, in truth they tend to fail because of:
Be accurate and informative
- Many small business websites are not kept up to date, they have outdated contact details, poor product/service information which in general gives users a bad experience and only has a negative effect on the business.
Generate new business
- People are not directed to the site through online and offline advertising and marketing, meaning that the only people using your website are the ones who already know about you. There are many cost-effective ways to get new business through your website.
Help to retain existing business
- Do you collect their email addresses in your business? Does your website collect your customers email addresses? If you do not constantly keep in touch with your existing clients telling them about events, special offers and promotions you are losing out on profits. There are many ways a website can help your business to retain custom and to increase frequency and value of customer spends without a great cost (If any).
A small business tends to have a website built because ‘Every business needs a website’ but then do little with it, it becomes stale and outdated, a website needs to be an extension of your business and should be part of your advertising and marketing strategy, it should be as important as your premises, your staff, your goods or services!
If you have read to here and are thinking “My website works well for my business and it is something I am very proud of!” then great and congratulations on your achievement, but how many small businesses can honestly say that their website is a profitable and successful part of their business!

- Offline – Newspaper advertising, leaflets, posters, Yellow Pages etc.
Online – Search engines, directory websites, http://Yell.com
But you may be thinking:
Offline – Newspaper advertising, leaflets, posters, Yellow Pages etc – I advertise offline in these places AND promote my website on my advertising, which is great, but you can improve on its effectiveness.
Online – Search engines, directory websites, http://Yell.com etc – I am not sure how these things work and I get bombarded daily with telesales calls about advertising on this website/that website, top results on Google, search engine optimisation for your website etc. It isn’t the minefield you may think it is, there are simple steps to ensure any online promotion you do is cost-effective and will work.
Don’t be scared by the internet, it is a probably the most powerful any small business can utlilise to not only grow their business but also to retain the existing clients they have. For many, feng shui business card tips, offer invaluable advice to strengthen marketing efforts and business results.
Business card with good feng shui can improve business, increase profits as well as attract more clients, better employees, excellent advisors and mentors.
On the other hand, business card with bad feng shui, can create a lot of pressure, frustration, unforeseen problems and difficult obstacles.
Feng shui principles bring essential harmony and balance to your business card design. How?
Good feng shui business card and logo design take these important feng shui rules into consideration:
1. Principles of Yin and Yan
Most successful and strong businesses work in line with nature’s principles. If you want to bring more harmony and prosperity into your business, you need to apply Yin and Yan principles to your feng shui business card and logo design. For instance, Yin and Yang Balancing principle advises that for things or people to work in their perfect order, they must be in balance. You need to avoid conflict at all cost. More harmony, including harmonious business card and logo designs, add more value to your customers and business.
2. Personal element according to your date of birth
According to feng shui, our surrounding consists of 5 elements: Wood, Fire, Earth, Metal and Water. Personal element can be easily identified according to your date of birth. For instance, personal element for a person born between January 23, 1974 – February 10, 1075, is Wood Tiger.
3. Business element
Each specific type of business has its own business element. For instance, if you work in furniture or paper business, education, hospital or design studio your feng shui business element is Wood. If you work in real estate, financial, construction, accounting or funeral business, your feng shui business element is Earth.
4. Supporting and Weakening cycles of 5 elements
All 5 natural elements – Wood, Fire, Earth, Metal and Water, interact through supporting or weakening cycle. For instance in supporting cycle Wood fuels Fire, Fire makes Earth, Earth creates Metal, Metal holds Water, Water feeds Wood.
Balance between your personal element and element of your business is essential for good feng shui business card design. Additionally, good combination of elements can enhance your luck and business prosperity.
5. Colors and Shapes
Each element is represented by certain colors and shapes. This is very useful to know when creating your own good feng shui logo shapes or choosing auspicious feng shui business card colors. For instance, element of Metal is represented by color white, gold, bronze, chrome, silver and round shape.
Shape of your element can further help you to select the best feng shui font type for your business card. For instance, the nature for metal font is round.
6. Placement of the important information
Where you place important business information on your business card is crucial to your success. For instance, if your name appears in the bottom row of your business card, you are shoulder a lot of unnecessary stress and problems. You work very hard but see no positive gains.
Did you know that the flow of money in your business is mostly determined by the business card design for your employees and sales people?
If you wonder why your sales team just hangs around the office and isn’t proactive enough to get more sales, change your business card design. Never place their names on the left hand side in the middle row of the business card. It has very negative effects on the overall business performance.
